Terms of Service

Ecom Elite provides ecommerce consultancy and managed services including marketplace management, paid advertising, listing and SEO optimisation, brand and store design, logistics planning and growth strategy.

The specific scope, deliverables, fees and reporting cadence for your engagement are set out in your written proposal or statement of work, which forms part of these terms.

Engagements begin with a 90-day blueprint cycle. After that first cycle, services continue monthly and either party may end the engagement with 30 days written notice.

Fees are billed monthly in advance unless your proposal states otherwise. Invoices are payable within 7 days of issue.

You agree to provide timely access to the accounts, data and approvals required for us to perform the services, and to ensure you are authorised to grant that access.

You are responsible for the legality of the products you sell, your compliance with each marketplace's policies and applicable consumer law, and for maintaining accurate business records.

We will perform the services with reasonable skill and care, using suitably experienced personnel, and will keep you informed of material developments affecting your account.

We are not an employee, agent or fiduciary of your business, and nothing in these terms transfers ownership of your marketplace accounts or your brand assets to us.

Any forecasts, projections or revenue targets we provide are informed estimates based on the data available at the time. They are not guarantees.

Marketplace and advertising platforms are outside our control. We do not guarantee rankings, sales volumes, advertising approval, account reinstatement or any specific commercial outcome.

You retain ownership of your brand, product data, imagery and any assets you supply. We retain ownership of our methodologies, templates, internal tooling and pre-existing materials.

On full payment of the relevant fees, you receive a perpetual licence to use the deliverables we create specifically for you, such as listing copy and creative assets.

Each party will keep the other's confidential information private and use it only for the purpose of the engagement. This obligation continues after the engagement ends.

Nothing in these terms limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot lawfully be limited.

Subject to that, our total aggregate liability is limited to the fees paid by you in the three months preceding the claim, and we are not liable for indirect or consequential loss, including loss of profit or anticipated revenue.

Either party may terminate immediately if the other commits a material breach that is not remedied within 14 days of written notice, or becomes insolvent.

On termination we will hand back account access, deliver work completed to date, and invoice any fees accrued up to the termination date.
